Terms
Terms and conditions for the use of the Saalpass ticketing platform (saalpass.de).
The platform is operated by Peter Schick, Gutenbergstrasse 25, 90513 Zirndorf, Germany (referred to below as "Saalpass" or "we"). Full provider details are available in the legal notice.
This is a translation of the German original. In the event of any discrepancy, the German version at saalpass.de/agb prevails.
1. Scope and definitions
These terms apply to the use of the Saalpass platform at saalpass.de, in particular to browsing events, selecting seats, purchasing tickets and the booking service we provide in doing so.
In these terms:
- Organizer means the association or other party that offers and runs an event and sells tickets for it through Saalpass.
- Guest means the person who purchases a ticket through Saalpass.
- Ticket means the right of admission to an event, which we provide as a PDF or an email containing a QR code.
- Service fee means the fee charged for our booking service (see section 5).
Deviating terms of the guest or the organizer do not become part of the contract unless we expressly agree to them in text form.
2. Who your contractual partner is
Saalpass is not the organizer. We only operate the technical platform through which organizers sell their tickets. A ticket purchase creates two separate contracts:
- The ticket contract is concluded between the guest and the organizer. The organizer owes the event and receives the ticket price. The organizer alone is responsible for the programme, venue, date, line-up, staging, cancellation, age restrictions and house rules.
- The booking contract is concluded between the guest and Saalpass. We owe the brokerage of the ticket, its delivery and the technical operation of the platform. The service fee under section 5 is charged for this.
The payment flow mirrors this split: the ticket price is credited directly to the organizer's account through our payment service provider (see section 6). We never become the holder of the ticket price and we do not act as the organizer's representative at the event itself.
The organizer of a specific event is named on the event page and during checkout: full name including legal form, address for service, authorised representative and contact details.
Draft – order of precedence: Where the organizer has provided their own terms for the ticket contract, those terms govern the ticket contract with the organizer; these Terms govern the brokerage provided by Saalpass. Where the two conflict, the terms of the respective contractual partner govern their own service: the organizer for the event, Saalpass for the brokerage.
3. How the contracts are concluded
The presentation of events and seats on saalpass.de is not a binding offer but an invitation for you to make one.
Checkout works as follows:
- Step 1: You select a date and the seats or ticket categories you want.
- Step 2: Selected seats are held for you for a limited period so that nobody can book them away from you during checkout. If that period expires, the seats are released and you have to select again. When demand is high, checkout may additionally be controlled by a queue.
- Step 3: Before you submit the order you see a summary of all items: ticket prices, the service fee where it applies, and the total amount payable.
- Step 4: By submitting the order and initiating payment you make a binding offer.
The contracts are concluded as soon as payment is confirmed and we send you the tickets by email. If payment fails, no contract is concluded and the reserved seats are released.
We store the contract text; you receive the order details and tickets by email. The contract is concluded in German.
4. What Saalpass provides
We provide the guest with:
- the presentation of events and available seats using the information supplied by the organizer,
- seat selection including a temporary hold during checkout,
- payment processing via our payment service provider,
- the issuing and delivery of tickets with a QR code,
- the technical admission control used by the organizer.
We expressly do not owe the event itself. Information about the programme, venue, date and what is included comes from the organizer; we reproduce it unchanged and do not review its content.
5. Prices and service fee
Ticket prices. The ticket prices shown in the shop are final prices set by the organizer. Whether and how much VAT they include depends on the tax status of the individual organizer.
Service fee. A service fee is charged for our booking service as a fixed amount per paid ticket. It currently amounts to EUR 1.90 per ticket. The applicable amount is shown to you as a separate line item before you submit the order.
The following applies:
- Complimentary tickets and guests of honour (ticket price EUR 0) are free of charge.
- The organizer decides per event who bears the fee. By default it is added to the ticket price and shown in the total the guest pays. If the organizer absorbs it, the price for the guest remains unchanged and no fee line item appears in your order.
- The service fee is charged per ticket, not per order.
- It is stated as a gross amount. VAT is not shown separately because we apply the small business rule under section 19 of the German VAT Act (UStG).
Tickets that are not sold through the platform (for example at the box office or directly from the organizer) are not covered by these terms and no service fee applies to them. Whether a box office exists is up to the organizer.
6. Payment processing via Stripe
Payments on saalpass.de are processed by the payment service provider Stripe. The available payment methods are shown to you during checkout.
Technically, payment is made directly to the organizer: the ticket price is credited to the organizer's Stripe account, and the service fee is passed on to us separately. Your payment details are processed by Stripe; we do not receive them.
If a payment fails or is charged back, the right of admission lapses and the affected tickets may be blocked.
How your data is processed in this context is described in our privacy policy.
7. Tickets, delivery and admission
Tickets are sent to the email address you provided once payment has succeeded. Please check the address carefully and look in your spam folder as well. If you have not received an email within one hour, please contact us.
Each ticket carries a QR code that is scanned at the entrance. The code is valid for one admission: if a ticket is presented more than once, only the first scan is accepted. Please keep your ticket as you would a printed ticket and do not publish the QR code.
You may pass a ticket on privately to another person, who then takes your place. Commercial resale, in particular via ticket exchanges or above the price printed on the ticket, is not permitted without the organizer's consent.
Personalised tickets. An organizer may decide to issue tickets in a guest's name. In that case the checkout asks for the name of the guest for each seat; it is printed on the ticket and displayed at admission. For such events the organizer may make admission conditional on the name matching an identity document, so passing the ticket on is only possible if the organizer allows it. You can tell that an event is personalised because the checkout shows the name fields.
Admission is decided by the organizer under its house rules. The admission rules and house rules of the venue apply, as do the statutory provisions on the protection of minors.
8. Right of withdrawal
Consumers generally have a right of withdrawal for distance contracts. However, the law provides for exceptions in the case of contracts for leisure events tied to a specific date.
For the details, including whether and to what extent a right of withdrawal exists, how to exercise it and what the consequences are, please refer to the withdrawal policy. It forms part of these terms.
9. Cancellation, rescheduling and changes by the organizer
Whether an event takes place, is rescheduled or is cancelled is decided solely by the organizer, who also bears the legal responsibility towards the guest.
- Cancellation: your claims are against the organizer. We support the reversal technically where it is handled through the platform (see section 10).
- Rescheduling: if an event is moved to a different date, tickets usually remain valid. Whether you can request a refund instead depends on your contract with the organizer and on statutory provisions.
- Programme changes: changes to the line-up or running order only give rise to a refund if they substantially change the character of the event.
We inform you about cancellations and rescheduling as soon as the organizer has notified us, and we pass your contact details on to the organizer for this purpose.
10. Refunds
There is no general right to return a purchased ticket. Whether and on what conditions an organizer takes tickets back is for the organizer to decide; statutory rights and the withdrawal policy remain unaffected.
Where a refund is issued, it is made to the same payment method you used. For the service fee the following applies:
- Full refund of the order, for example after a cancellation: the service fee is refunded as well. You receive back the full amount you paid.
- Partial refund, for example when individual tickets from an order are returned: the service fee is retained, because the brokered service has already been rendered.
Refunds are triggered by us technically once the organizer has approved them. Depending on the payment method, it may take several business days for the credit to appear on your account.
11. Use of the platform by organizers
The following additional rules apply to organizers.
Commercial terms. The platform can be used without a base fee, without a subscription and without a minimum term. We earn solely from the service fee under section 5. Transaction fees charged by the payment service provider are borne by the organizer, because payments are credited directly to the organizer's account.
Organizer obligations. The organizer warrants that
- its information on the event, venue, date, prices and what is included is correct, complete and up to date,
- it is entitled to offer the event and holds the necessary rights, permits and insurance,
- it holds the rights to all content it uploads (text, images, logos),
- it meets its own tax and legal obligations, including any of its own terms towards its guests,
- it answers guest enquiries about its event within a reasonable time and informs us of cancellations and rescheduling without undue delay.
Indemnity. If a third party brings a claim against us because of an event or because of content published by the organizer, the organizer indemnifies us against justified claims to the extent it is responsible for the claim.
Suspension. We may temporarily suspend events or accounts if there is reasonable suspicion of unlawful content, of a breach of these terms or of misuse. We inform the organizer and give it the opportunity to comment, unless statutory reasons prevent us from doing so.
Termination. Either side may end the cooperation at any time. Tickets already sold remain unaffected and continue to be supported up to the date of the event concerned.
12. Obligations when using the platform
Please do not use the platform in a way that disrupts its operation or disadvantages other guests. In particular, it is not permitted to
- reserve seats automatically or in a volume that is evidently not aimed at an actual purchase,
- circumvent safeguards such as the queue or admission control,
- scrape platform data automatically, or duplicate or alter tickets,
- provide false information about your identity or email address.
In the event of serious or repeated breaches we may block individual orders or access to the platform.
13. Availability of the platform
We aim to keep the platform running as smoothly as possible, but we cannot guarantee uninterrupted availability. Maintenance work, disruptions at upstream providers (for example the payment service provider or email delivery) and events beyond our control may temporarily limit availability. Where maintenance can be planned, we schedule it outside peak demand.
If the platform is temporarily unavailable, tickets already purchased do not lose their validity. If a ticket cannot be verified technically at the entrance, the organizer decides on admission on site.
Our liability for the services we owe is governed by section 14.
14. Liability
We are liable without limitation
- for intent and gross negligence,
- for injury to life, body or health,
- under the German Product Liability Act,
- where we have given a guarantee or fraudulently concealed a defect.
In cases of ordinary negligence we are liable only for the breach of a material contractual obligation, that is an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance you may regularly rely. In that case liability is limited to the foreseeable damage typical for this type of contract. Any further liability is excluded.
These provisions concern only our own services, namely the brokerage and the operation of the platform. Liability for the event itself lies with the organizer as your contractual partner; we are not liable for it unless we have breached our own obligations. Your statutory rights against the organizer remain unaffected.
The above limitations of liability also apply for the benefit of our agents and subcontractors.
15. Data protection
How we process personal data, what rights you have and which service providers receive data is set out in our privacy policy.
To process an order we pass the necessary data on to the relevant organizer, who is independently responsible for its further processing.
16. Changes to these terms
We may change these terms, for example if our services, technical processes or legal requirements change.
The version published on saalpass.de at the time of your order always applies to that order. Contracts already concluded are not affected by later changes. We inform organizers of changes in text form at least four weeks before they take effect; if the organizer does not object before they take effect, the amended terms apply to continued use. We point out the right to object and its consequences separately in that notice.
17. Final provisions
Governing law. German law applies. If you are a consumer with your habitual residence in another country, the mandatory consumer protection provisions of that country remain unaffected.
Place of jurisdiction. Statutory provisions apply to legal proceedings. We do not agree any deviating place of jurisdiction with consumers.
Dispute resolution. We are neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration board (section 36 of the German VSBG).
Language. The language of the contract is German. Translations of these terms are provided for ease of understanding; the German version prevails.
Severability. Should any provision of these terms be or become invalid, the validity of the remaining provisions is unaffected. The statutory provisions take the place of the invalid provision.
Contact. Questions about these terms, an order or a ticket can be sent to PeterSchick@gmx.net or via the contact form. Questions about an event itself are answered by the respective organizer.
